Corporate Transactions
Michael Bohn is a corporate attorney in the Milwaukee office of Whyte Hirschboeck Dudek S.C., recently named “Best M&A Firm in the USA 2012” by World Finance Legal Awards.

As a member of the International Transactions Team, Mr. Bohn is frequently involved in complex inbound and outbound international business transactions including non-traditional joint ventures, mergers and acquisitions, distribution agreements and divestitures. Mr. Bohn also represents businesses and financial institutions in a variety of domestic corporate and finance matters including mergers and acquisitions, credit arrangement restructuring, commercial contract preparation and taxation.

Mr. Bohn is an active member of the Emerging & Entrepreneurial Companies Team where he works with venture capital funds, corporate clients and individuals that are either seeking or providing financing at various risk levels including angel, venture, mezzanine, asset-based and unsecured. Mr. Bohn enjoys partnering with start-up companies to advise them on a wide range of legal and business issues from entity formation to follow-on financing rounds to strategic exits.

Representative Work

  • Represented a foreign purchaser in a competitive auction and the successful acquisition of a U.S. company valued in excess of $250 million.
  • Represented a U.S.-based manufacturers in the structuring and negotiation of joint venture relationships with counterparties in China (including State-Owned Enterprises) and throughout Asia, the most recent of which projected gross revenues in excess of $75 million.
  • Represented a global manufacturing company in its $400+ million dollar sale to a private equity firm, including a $300 million dollar high yield debt offering.
  • Represented an international social media/e-commerce company from initial structuring through a successful private placement offering valued at over $10 million ($1.5 million of new capital raised).
  • Represented a publicly traded Spanish purchaser in the acquisition of a U.S. water park business valued at over $50 million.
  • Represented one of the region’s largest retail grocery companies in the restructuring of a British Virgin Islands affiliate.
  • Represented a venture capital fund in its structuring, formation and estimated capital raise of over $10 million.
  • Represented a large multi-national chemical manufacturer headquartered in Europe in the acquisition of a U.S.-based chemical manufacturer.
  • Represented a startup technology company from initial formation through the negotiation of a successful capital raise of over $2 million (investment round led by a prominent venture capital fund).
  • Represented an established manufacturing company in its restructuring, including a multi-million dollar capital infusion from a private equity investor.
