Corporate Transactions
Sverre Roang is a shareholder in the Madison office of Whyte Hirschboeck Dudek S.C. He is a consummate deal attorney, teaming up with his clients to find creative and practical solutions to successfully get deals done. His ability to find success in a wide variety of transactions recently led him to being named the country’s “Deal Maker of the Year” by Lawyer Monthly Magazine. He particularly excels at obtaining deep and broad knowledge about his clients and their industries, allowing him to tailor M&A deals to his clients’ unique business objectives. Mr. Roang also works diligently to build strong personal relationships with his clients, enabling them to understand the deal process and ensure their goals are reached. As a result, clients enjoy working with him as a valued member of their team. This effective approach has led to recognition by Chambers USA, which commended him for his “impeccable legal knowledge” and the “ability to keep his cool but get tough when needs be.”

Mr. Roang has done significant deal work in many industries, including manufacturing, retail, publishing, energy, banking and professional services. He has also developed an internationally recognized expertise in large agricultural transactions, with emphasis on the production, marketing, and licensing of seed products. He has worked with more than 20 companies in this space, spread across 12 states and four continents.

In addition to the work he does for his clients, he serves on the firm’s elected board of directors. From 2010 to 2012, he chaired the firm’s Corporate Practice Group. During his tenure, as a result of his own work and the work of the firm’s excellent team of transactional attorneys , the group has been repeatedly awarded for its exceptional deal work, including: Mergers & Acquisitions Law Firm of the Year (USA) – Finance Monthly Magazine; Best M&A Firm in USA 2012 – World Finance Legal Awards; Clients’ Choice – Wisconsin M&A Firm of the Year – Corporate INTL; and Top Tier Firm – DealMakers – 2011 Global Leading Firms ‘Top Tier Rankings.

Representative Work

  • Numerous companies in a variety of transactions, including mergers and acquisitions, divestitures, commercial contracts, license agreements, and joint ventures. Representative companies on the other side of these transactions include: Amcore Bank, AnchorBank, Bayer (and Bayer CropScience), Dow AgroSciences, DuPont (and Pioneer Hi-Bred International), Goldman Sachs, Harley-Davidson, Hoya Corporation, Land O’Lakes Cooperative, Mattel, Monsanto, Rural American Fund, Samsung, Stine Seeds, Syngenta, Target, United Natural Foods Incorporated, Wal-Mart, 7-Eleven and a large utility operator.
  • Numerous prominent, worldwide seed companies engaged in breeding, research and commercialization of unique varieties of seeds. Mr. Roang has also represented several of these companies through complex strategic transactions within the seed industry.
  • A regional hydroelectric dam operator with operations in several Midwestern states.
  • A game publishing company, beginning with the company’s formation, through its years of rapid growth, with representation that included extensive licensing of intellectual property, to its sale of several of its most popular game titles to a publicly traded company, and beyond.
  • Several financial institutions through day-to-day lending and other business issues, including significant strategic transactions.
  • A credit union in the largest ever acquisition of a bank in U.S. history.
  • A large composites manufacturing company through a complex restructuring of the company’s ownership.
  • A natural food cooperative through the conversion of the business from a privately owned enterprise to a cooperative.
  • Two composite wood products testing companies, through the creation of and sale to an ESOP in one and a successful transition to a new generation of ownership in the other.
  • A microbrewery, including labeling and off-site production issues relating to the Alcohol and Tobacco Tax and Trade Bureau.
